SimXity AERO Inc. – Terms and Conditions

1. Scope

These Terms and Conditions (“Terms”) govern the access and use of all services and features provided by SimXity AERO Inc., including its online platform, Training Management System (TMS), blockchain-based certification, and AI-powered license agents.

By registering on or using the SimXity platform, the user agrees to these Terms in full.

2. Services Offered

SimXity provides an integrated SaaS solution for the aviation industry, including:

• Booking and management of aviation training sessions.

• Issuance of blockchain-secured certificates and licenses.

• AI-powered monitoring of training needs, license validity, and compliance.

• Access to a marketplace of certified training providers.

3. User Registration and Access

• Registration is required to access certain functionalities.

• Users must provide accurate and complete information.

• SimXity reserves the right to verify users and deny access if misuse or false information is suspected.

4. Blockchain Certification

• All certifications issued via SimXity are hashed using SHA-256 and stored immutably on a blockchain.

• Verification is enabled globally via QR code on each certificate.

• SimXity does not guarantee acceptance by third-party authorities, unless officially partnered or accredited.

5. AI License Agents

• AI agents offer training recommendations and monitor license timelines.

• These agents act as digital assistants, not legal representatives.

• SimXity is not liable for expired licenses due to ignored AI recommendations.

6. Fees and Payment

• Use of the platform may incur the following fees:

  • Subscription fees (monthly/annual tiers)

  • Transaction fees per certificate

  • Marketplace commissions from training bookings

  • AI Add-ons with setup and usage costs

• All fees are listed transparently on the pricing page and subject to VAT where applicable.

7. Data Protection and Privacy

• SimXity complies with GDPR and applicable data protection laws.

• Data is stored securely and only shared with third parties necessary for platform operation.

• Users have the right to request, correct, or delete their data.

8. Intellectual Property

• All software, AI models, course structures, and the blockchain architecture are the intellectual property of SimXity AERO Inc.

• Users may not copy, distribute, or reverse-engineer any part of the system.

9. Liability

• SimXity is not liable for:

  • Errors caused by incorrect data entry by users.

  • Disruptions due to force majeure or third-party service failures.

  • Regulatory decisions or authority rejections beyond SimXity’s control.

• Liability is limited to the value of the service provided during the affected period.

10. Termination

• SimXity reserves the right to terminate user accounts in case of:

  • Misuse, fraud, or non-compliance with these Terms.

  • Repeated regulatory violations.

• Users may cancel their account at any time. Prepaid fees will not be refunded.

11. Governing Law and Jurisdiction

• For users in Europe: Governed by the laws of Germany.

• For users in the United States: Governed by the laws of South Carolina.

Disputes shall be resolved before the competent court at the company’s local headquarters unless otherwise agreed.

12. Changes to the Terms

SimXity reserves the right to amend these Terms. Users will be informed via email or in-platform notifications. Continued use after updates constitutes acceptance of the new Terms.
